1. The short version
These Terms govern your use of Portal — our construction operations platform — and your relationship with Alfil Web Solutions LLC ("Alfil," "we," "us"). By creating an account or using Portal, you agree to these Terms. If you don't agree, don't use Portal.
Portal is built for construction businesses operated by adults who have the authority to bind their company to a contract. We bill you on a flat-rate subscription. You can cancel anytime through Portal Settings. Disputes are resolved by binding arbitration in Florida. Your data is yours, and you can export it whenever you want.
That's the substance. The rest of this document is the formal version.
2. Who we are
Alfil Web Solutions LLC is a Florida limited liability company headquartered in Tampa, Florida, USA. You can reach us at contactus@alfilwebsolutions.com.
3. Acceptance of these Terms
By creating a Portal account, accessing Portal, or paying for a subscription, you accept these Terms on behalf of yourself and the business you represent. If you're accepting these Terms on behalf of a company, you confirm that you have the authority to bind that company to this contract.
4. Eligibility
You must be at least 18 years old to use Portal. Portal is designed for construction businesses, not individual consumers. You confirm that the information you provide during signup is accurate and that you're authorized to act on behalf of your business.
5. Your account
Creating your account. When you sign up for Portal, you agree to provide accurate information and to keep it current. You're responsible for maintaining the confidentiality of your account credentials.
Account security. You're responsible for all activity that happens under your account. Notify us immediately if you suspect unauthorized access. We may require multi-factor authentication for accounts with elevated privileges.
Sharing accounts. Each user must have their own account. Sharing credentials between users is prohibited — it breaks our audit trail and compromises everyone's security.
6. Subscription, billing, and cancellation
The plans. Portal pricing is published at alfilwebsolutions.com/portal/pricing/. All plans include the full feature set; the difference between tiers is the included user count. Pricing is the same for every customer — no promotional rates, no founding-member discounts, no early-bird offers.
Auto-renewal. All plans (monthly and annual) auto-renew at the end of each billing period unless you cancel. We disclose this clearly at signup, and we email you a confirmation that includes the auto-renewal terms after every successful charge.
Cancellation. You can cancel anytime through Portal Settings. Cancellation takes effect at the end of your current paid period — your subscription stays active until then. The cancellation flow is at least as easy as signing up. No phone calls, no retention pressure.
Refunds. We don't offer refunds, including for unused months on annual plans, except where required by law.
Price changes. We give 30 days' notice for any price increase on monthly plans, and 60 days' notice for annual plans. Notifications go out via email and an in-app banner. Price changes apply to all customers uniformly under the same notice periods.
Annual renewal reminders. For annual plans, we send a renewal reminder email 30 to 45 days before your renewal date.
Payment failure. If a charge fails, we'll automatically retry for 7 days. After 7 days of failed retries, your account enters a 7-day grace period with read-only access and an in-app warning. After 14 total days of failure, your account is suspended. After 30 days of suspension, your account is terminated and the data deletion process begins.
7. Service availability
No formal SLA. We target 99.5% monthly uptime as an aspirational goal, but we don't currently commit to service credits for downtime. We don't promise uninterrupted or error-free service.
Maintenance. We may perform maintenance with reasonable notice via email and in-app banners. We try to schedule maintenance during off-peak hours but don't guarantee fixed windows.
Service modifications. We may modify or discontinue features with reasonable notice. We won't degrade or remove features that are core to your subscription without offering you a reasonable alternative.
8. Acceptable Use
You agree NOT to use Portal to:
- Violate any law, regulation, or third-party right
- Send harassment, threats, or abusive content
- Distribute malware, spam, or phishing content
- Scrape, mine, or extract data through automated means
- Reverse engineer, decompile, or attempt to derive source code
- Circumvent security controls or exceed documented rate limits
- Access or attempt to access data belonging to other customers (multi-tenancy abuse)
- Share account credentials between users
- Infringe any third party's intellectual property rights
- Send unsolicited commercial communications (spam) through Portal
We may suspend or terminate accounts that violate this section at our sole discretion. We may also investigate suspected violations.
9. Your data
You own your data. All data you upload to Portal — customer records, project information, employee data, files, and everything else — belongs to you. We hold a limited license to process this data for the sole purpose of providing the Portal service, securing your account, supporting you, complying with law, and producing aggregated and anonymized analytics for product improvement.
Aggregated and anonymized data. We may use aggregated and anonymized data — data that cannot be linked back to you or any individual — to improve Portal indefinitely.
Privacy. Our handling of personal information is described in our Privacy Policy.
Exporting your data. You can export your data through Portal's built-in export features at any time during your active subscription. After termination, you have a 60-day window to request a final export before our deletion process begins.
10. Intellectual property
Portal. Portal — including the software, design, documentation, and the Alfil brand — belongs to Alfil Web Solutions LLC. Your subscription gives you a non-exclusive, non-transferable, revocable license to use Portal during your active subscription term, subject to these Terms.
Your data. You retain all rights to your data (Section 9).
Feedback. If you provide feedback, suggestions, or feature requests, we may use them to improve Portal without obligation or compensation to you. You grant us a perpetual, worldwide, royalty-free license to use such feedback.
Trademarks. "Alfil," "Alfil Web Solutions," "Portal," and related logos are trademarks of Alfil Web Solutions LLC.
11. DMCA notice and takedown
We respect intellectual property rights and respond to valid DMCA notices.

What a valid notice contains. A valid DMCA takedown notice must include the six elements required by 17 U.S.C. § 512(c)(3): a signature (physical or electronic) of the rights holder or authorized agent; identification of the copyrighted work; identification of the infringing material with sufficient detail to locate it; your contact information; a good-faith statement that the use is unauthorized; and a statement under penalty of perjury that the information is accurate.
What we do. We aim to evaluate valid notices within 48 hours and remove or disable access to the affected content as appropriate. We notify the affected customer and provide them with the notice content (with personal contact details redacted).
Counter-notices. If you believe content was removed in error, you may submit a counter-notice that includes your contact information, identification of the removed content and its prior location, a statement under penalty of perjury that you have a good-faith belief the content was removed by mistake, and consent to the jurisdiction of the federal district court in your address.
Repeat infringers. Accounts with multiple validated DMCA strikes will be terminated.
12. Third-party services
Portal integrates with third-party services (such as Google Maps for address autocomplete and AWS for hosting). Our public subprocessor list will be available at alfilwebsolutions.com/subprocessors/. The terms of those third parties may apply to certain embedded features. We disclose subprocessor changes with at least 30 days' notice.
13. Disclaimers and warranties
As-is. Portal is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.
No guarantee of uninterrupted service. We don't warrant that Portal will be uninterrupted, error-free, or completely secure. We don't warrant that defects will be corrected or that Portal will meet every requirement of your business.
14. Limitation of liability
Cap. To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or your use of Portal is limited to the greater of (a) $100 USD or (b) the total fees you paid Alfil in the 12 months preceding the event giving rise to the claim.
Excluded damages. We are not liable for any consequential, indirect, special, incidental, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if we have been advised of the possibility of such damages.
Carve-outs. The cap and exclusions in this Section 14 do not apply to: (i) our indemnification obligations under Section 15, (ii) intellectual property infringement claims, (iii) gross negligence or willful misconduct, or (iv) fraud.
15. Indemnification
By you. You agree to defend, indemnify, and hold harmless Alfil and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of: (a) your misuse of Portal; (b) your violation of these Terms or any applicable law; (c) your data or content uploaded to Portal; or (d) your infringement of any third-party right.
By Alfil. We will defend you against third-party claims that Portal infringes a U.S. patent, copyright, or trademark, and we will pay any settlement we agree to or any final court-awarded damages, provided you give us prompt notice and reasonable cooperation. This is the only intellectual-property indemnity we provide.
16. Term and termination
Term. These Terms apply from the date you create your account and continue until your subscription is canceled or terminated.
Termination by you. You may terminate by canceling through Portal Settings (see Section 6).
Termination by us. We may suspend or terminate your account for cause — including material breach of these Terms or the Acceptable Use section — with reasonable notice where practical. We may suspend immediately if your conduct creates legal, security, or operational risk to Alfil or other customers.
Effects of termination. When your subscription terminates, your access to Portal ends. You have a 60-day window to request a final data export. After 60 days, we begin deleting your data. Backups containing pre-termination data may persist for an additional 30 days through normal backup rotation.
17. Dispute resolution
Read this section carefully — it affects your legal rights.
30-day informal resolution. Before filing any formal claim, you agree to contact us at contactus@alfilwebsolutions.com and give us 30 days to try to resolve the dispute informally.
Binding arbitration. Any dispute that's not resolved informally will be resolved through final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be held in Hillsborough County, Florida, or via remote means as the arbitrator decides.
Class action waiver. You and Alfil agree that any dispute will be brought in your individual capacity only — not as part of any class, collective, mass, or representative action. The arbitrator may not consolidate claims and may not preside over any form of class proceeding.
Carve-outs from arbitration. Either party may bring qualifying claims in small-claims court. Either party may seek injunctive or other equitable relief from a court for intellectual property infringement.
Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws provisions.
Venue for non-arbitrable claims. For any claim not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida.
Jury trial waiver. You and Alfil each waive any right to a jury trial in any court proceeding allowed under these Terms.
Time to bring a claim. Any claim arising out of or relating to these Terms or your use of Portal must be brought within one (1) year after the claim arises, or it is permanently barred. [PENDING ATTORNEY REVIEW — 1 year is customary for SaaS but should be confirmed]
18. General provisions
Entire agreement. These Terms, together with the Privacy Policy and any documents incorporated by reference, are the entire agreement between you and Alfil regarding Portal. They replace any prior understandings.
Severability. If any provision is held unenforceable, the remaining provisions stay in full effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.
Force majeure. Neither party is liable for delays or failures caused by circumstances beyond reasonable control — natural disasters, acts of war, government action, internet or hosting infrastructure failures, and similar events.
Notices. Notices to us go to contactus@alfilwebsolutions.com. Notices to you go to the email address on file with your account.
No agency. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between us.
Survival. Sections that by their nature should survive termination — including ownership of data, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — survive any termination of these Terms.
19. Changes to these Terms
We may update these Terms. For material changes, we'll give 30 days' notice via email to your account admin and an in-app banner, and update the "Last Updated" date. If you continue using Portal after the effective date, you're agreeing to the updated Terms. If you object, you may cancel before the effective date.
Non-material updates (typo corrections, clarifications, formatting) take effect when posted, with the new "Last Updated" date.
